ACE would qualify for this right if it became a certified rail operator, if it filed a certificate of need, and if the certificate was granted. UP might have "first right of refusal" for re-using the R/W, but if it declined, then that other certified rail operator becomes eligible. Note the use of the word "if" in many places.
If the UP came back, or any other operator for that matter, then it would have to buy PLA's improvements (i.e. the track, etc.).
