Purchase Price. The NSM Purchase Price for the Assets is allocated as follows:

• • SLRG 519 (E-8A) - purchase price $25,000
• • SLRG 1100 (FP-10A) - purchase price $38,000

Big Shoulders Capital, LLC (“Big Shoulders”) has asserted it has first priority security interest in SLRG 519 pursuant to a Loan and Security Agreement between Heritage and Big Shoulders dated February 27, 2017 (as amended). The Trustee understands that Big Shoulders has consented to the Trustee’s sale of SLRG 519 subject to a carve out of twenty percent (20%) of the net purchase price of the Assets less closing costs, including any applicable storage fees (the “Carve Out”) to remain with the Heritage estate free and clear of any Big Shoulders’ lien, with rights otherwise reserved.
