Intermountain Western Railroad

Greetings-
I'm hoping someone can help me out with something tonight. In the late 1980's Union Pacific reached a deal to sell a group of branchlines in eastern Oregon and southwestern Idaho to the Intermountain Western Railroad. The IW started buying locomotives and painted a few of them before the deal fell apart. UP subsequently sold one of the subject lines to Western Railroad Builders (Oregon Eastern Division of the Wyoming/Colorado) and some others to the Idaho, Northern & Pacific.
I have two questions relating to this:
1. Does anyone remember specifics as to what lines were included in the original IW deal?
2. Any idea why the transaction fell through?
Thanks you in advance.
