A section of 49 CFR (I don't have the book in front of me now) allows railroads to form their own police departments which are generally commissioned by the governor in one of the states the railroad operates in. States can limit a railroad police officers power or disqualify a particulr officer for whatever reason but they have little say over the railroad police department in general as it is preempted by Federal statute.

Many police departments dislike railroad police and show it in their attitudes toward them.
