Conrail Shared Assets was formed during the break-up to address anti - competitive possibilities from both CSX and NS. It basically serves as a neutral switching service for both.
BTW -- Penn Central continued to exist ( as a real estate and asset holdings concern ) for several years after its rail assets were conveyed to Conrail.
