UP selling Hollister branch?

Greetings-

While scrolling through the STB website, I came across a couple filings dated 27 March 2009 by a San Benito Railroad (or Railway) LLC. One filing is a Notice of Exemption stating that San Benito intends to purchase the Hollister branch, and the second filing is a motion to strike the first filing because the transaction does not require Board approval.

From what I can gather reading the two filings, it appears that San Benito has at least an option to purchase the line from UP. Under the terms of the agreement, San Benito will acquire the infastructure, and Union Pacific will retain an easement to provide continued freight service. San Benito states their intentions to provide intrastate passenger service from a planned community north to Gilroy, partially over trackage rights obtained over other UP lines. The Motion to Strike filing contains the text of a couple of the documents in place between UP and San Benito.

Anyone closer have any idea what's going on here? Just curious...
