Any potential conflict of interest needs to be assessed on two levels: 1) conflict of interest in fact-say for a Board member who directly benefits from official actions taken AND 2) conflict of interest in appearance.

I'd say in just reviewing the story- there is CERTAINLY a conflict of interest in appearance. As such the Board member(s) should NOT be included in confidential discussions regarding the lawsuit with Navato. This is a no-brainer and would be the case at ANY other public entity that I'm aware of. I used to audit governmental entities and would write findings for situations exactly like this.
